Seminar on Craft of Research（2023年度前期：学部・大学院）

This seminar is aimed at helping the participants to develop their academic presentation and research skills and to give participants the opportunity to present and discuss their research with peers. This seminar includes a number of practical skills, and requires students to reflect on their research habits and schedules. Thus it can serve as a kind of pace-maker for students in conducting their own research. Participants will also have a chance to present about the progress in their individual research at the end of the semester. This course is similar in its aims to “International Colloquium”, which is offered during the spring semester, but this course focuses more heavily on the skills for presenting one’s research in an international setting.

Seminar on Negotiation

The purpose of this class is to prepare for the 20th competition of INC (intercollegiate negotiation competition). Seminar participants are expected either to participate in the competition or to support the participating members.
The competition consists of two parts: the arbitration part (round A) and the negotiation part (round B). The competition involves a hypothetical international business transaction and the participants play the role of two opposing parties.

Tackling these issues requires the understanding of various disciplines, including medical law, medical policy, epidemiology, and health economics. We are going to discuss these issues from various viewpoints in this seminar.

Today many people realize that knowing and understanding data can make difference. Even the field of law, where textual and qualitative analyses have long been the tradition, is no exception. In order to understand the social impact of a specific legal rule, it would be better to rely on actual data.
The theme of this year is collecting data from the web. Today many data scatter around the web --- SNSs, including Twitter, Instagram, and facebook, governmental statistics portal site, and companies' websites. Collecting data from those sources and analyzing them quantitatively will give you various insights.
In this seminar, we focus on how to analyze data employing a statistical programming software 'R'. R is an open software and you can download it for free.
In each class meeting, a designated participant needs to sum up and present the contents of the reading assignment of the week. The reporter of the week is required to complement the reading assignments in order to help the understanding of other participants. Each participant should have a (laptop) PC in order to install R (and Rstudio) and to run practices. Although mathematics and programming are not prerequisites for this course, some basic knowledge of these areas will be helpful.
At the end of the seminar, each participant is required to present his or her own research agenda. Each participant can get feedbacks.

Criminology

While the crime rate in Japan is at historically low level, media argue that serious crimes are continuously occurring and that the deterrence of such crimes is necessary. However, in order to evaluate criminal policies and their effectiveness as a deterrence tool, we need to understand how potential criminals commit criminal behavior and how potential criminals are distributed in the population. This seminar tries to build a foundation for such policy analysis.

Today many people realize that knowing and understanding data can make difference. Even the field of law, where textual and qualitative analyses have long been the tradition, is no exception. In order to understand the social impact of a specific legal rule, it would be better to rely on actual data.
In addition, just uncovering associations between various factors is not sufficient to make policy recommendations. Making valid policy recommendations requires the understanding of causality: causal effects of various policies on other social factors. Building quantitative causal inference is the key issue in any field of social science.
In this seminar, we focus on how to analyze data employing a statistical programming software 'R'. R is an open software and you can download it for free.
In each class meeting, a designated participant needs to sum up and present the contents of the reading assignment of the week. The reporter of the week is required to complement the reading assignments in order to help the understanding of other participants. Today many people realize that knowing and understanding data can make difference. Even the field of law, where textual and qualitative analyses have long been the tradition, is no exception. In order to understand the social impact of a specific legal rule, it would be better to rely on actual data.
In this seminar, we focus on how to analyze data employing a statistical programming software 'R'.
Whatever field you are working on --- law, political science, and other social science ---, you will learn various techniques of quantitative empirical analysis using R.
In each class meeting, a designated participant needs to sum up and present the contents of the reading assignment of the week. Some of the reading assignments require further readings such as probability and statistics textbooks and the presenter must complement the reading assignments in order to help the understanding of other participants. Other participants also need to do some practices by themselves every week. Each participant should have a (laptop) PC in order to install R and to run practices. Although linear algebra, probability, statistics, and programming are not prerequisites for this seminar, some basic knowledge of these areas will be helpful.
At the end of the seminar, each participant is required to present his or her own research agenda.
The topics covered in the seminar will include:

- regression analysis
- data visualization
It is highly recommended that you practice the analyses outside of class meeting, because you can learn how to do statistical analysis only by practicing by yourself.

　本演習は，毎年12月初め（2017年は11月18日・19日の予定）に開催される「大学対抗交渉コンペティション」（以下，交渉コンペ）に参加するための準備を行うことを目的とするゼミである。交渉コンペの詳細については，ウエッブサイト（http://www.negocom.jp/）を参照されたいが，全国（海外も含む）の大学生が集まり，国際的取引をめぐる仮設事例について，いずれかの立場に立って，ビジネス交渉の腕を競うものである（参加費5000円，ただし交通費・宿泊費は例年支給）。審査委員として参加して下さる方々は，現役の弁護士・裁判官・企業法務部の方々などからなっている。もっとも，この演習に参加したからと言って交渉コンペに参加する義務が発生するわけではないし，逆に，演習に参加していないからと言って交渉コンペに参加できなくなるわけではない。他学部学生の参加も可能である。
　交渉コンペは，①ユニドロワ国際商事契約原則をベースとした仲裁，②交渉，の2日間からなるので，この演習もこの2つの点でのスキルアップを目指すことになる。
　まず，交渉スキル（②）は，机上で学ぶのは難しいスキルである。本当の交渉スキルは，実践によらないと身につきにくい。とはいえ，まずは基礎理論を理解しておくことは望ましいから，まず，交渉に関するいくつかの方法論の内容を整理した上で，テキスト『交渉の達人』やそのほかの教材を利用してスキルアップを図る。演習の後半では，仮想事例についてのシミュレーションを用いた練習に取り組む。
　他方，仲裁スキル（①）については，ユニドロワ契約原則の内容を理解した上で，具体的な問題においてそれを応用できるようにする。これは，通常の法律的なスキルであるから，法学部の他の授業の延長線上にあるから，少なくとも前期の交渉演習Iではあまり重視しない。

　もっとも，この演習に参加したからと言って交渉コンペに参加する義務が発生するわけではないし，逆に，演習に参加していないからと言って交渉コンペに参加できなくなるわけではない。他学部学生の参加も可能である。また，自主ゼミに所属していることは交渉コンペ参加の要件ではなく，自主ゼミ所属者でなくとも大会に参加可能である（ただし，例年，自主ゼミ所属者が主に参加している）。

実証分析演習I（2016年度前期：学部・大学院）

　この演習では，実証分析の具体的な手法を学ぶ。『犯罪白書』に所収されているデータを使いながら，統計分析ソフトウエアRによって，実際に，自分の手を動かしてデータを分析してみる。統計的な分析手法は，実際に自分の手を動かしてみないと，なかなか身につかないからである。
　なお，数学に関する知識は，ほとんどなくてもかまわない（森田『実証分析入門』より低いレベルでも大丈夫）。ただし，自由に使える（≒ソフトウエアのインストールが可能な）パソコンを1台持っていることが望ましい。

実証分析演習II（2016年度後期：学部・大学院）

　この演習では，実証分析を具体的に行ってみる。刑法または医事法に関するテーマについて，各自あるいはグループを作って分析を行う。どのようなテーマを扱うかについては，犯罪白書や，米村『医事法講義』を見て，選んで欲しい。犯罪白書についてのデータ，および，医事法に関するデータについては，政府の統計ポータルサイトからかなりの部分をダウンロードすることができる。　なお，数学に関する知識は，ほとんどなくてもかまわない（森田『実証分析入門』より低いレベルでも大丈夫）。ただし，自由に使える（≒ソフトウエアのインストールが可能な）パソコンを1台持っていることが望ましい。
　前期に開講される実証分析演習Iに引き続いて行われる演習であり，実証分析演習Iを履修済みであることが望ましい。

商法演習V（2016年度前期：学部・大学院）

　2015年に起きた「傾斜マンション」問題に見られるように，複雑な「モノ」を建造する場合には，さまざまなリスクが存在している。手抜き工事のリスクもあれば，施工業者が途中で倒産してしまうリスクや，逆に注文者が代金を払ってくれないリスクもある。同様の問題は，中古の「モノ」（たとえば中古マンション）を売買するときにも発生する。これらのさまざまなリスクを，当事者の間でどのように配分していくのかは，契約実務において，重要な問題である。
　特に，船舶建造契約や船舶売買契約においては，相手方が日本国外の当事者であることも多く，リスクはより複雑になる。そこで，そのような契約を利用する造船業者・海運業者・銀行（船舶の金額は巨額なので，銀行からの借入が必須となることが多い）・総合商社などは，リスクの所在を理解しておくことが重要になる。本演習では，具体的な契約の検討を通じて，どのようなリスクが存在しており，それらに対してどのように対処することができるのかを学ぶ。

実証分析演習I（2015年度前期：学部・大学院）

　この演習では，実証分析の具体的な手法を学ぶ。教科書やその他の教材を使いながら，実際に，自分の手を動かしてデータを分析してみる。統計的な分析手法は，実際に自分の手を動かしてみないと，なかなか身につかない。
　さらに，実際に実証分析に使うデータの収集を行うことも予定している。その際には，昨年度のゼミで取り上げた「リサーチ・デザイン」（研究設計）が重要だということも分かるだろう。

実証分析演習II（2015年度後期：学部・大学院）

演習の予定

　後期の実証分析演習IIにおいては，特定のテーマについて，実際にデータの収集および分析を行ってみることで，どのように実証分析を進めればよいのか，トレーニングを積むことを目的とする。前期の実証分析演習Iを受講している必要は必ずしもないけれども，その内容を自分でフォローしておかないと，実際に実証分析を行うことは難しいかもしれない。
　①データソースへのアクセス，②excelなどを利用したデータの集計，③Rを使った統計分析，を行う。テーマとリサーチデザインに関しては，担当教員が提示する予定。

商法演習V（2015年度前期：学部・大学院）

　今日の法学解釈論・立法論においては，分野にもよるが，経済分析が有力なツールの一つになってきている。そこで，さまざまな法ルールの合理性を経済学を使って分析する，法の経済分析の手法を学ぶ。
　後掲の教科書を使って，毎週2章ずつ読み進んでいく。演習の具体的な進め方としては，担当テーマについて報告者がその内容を整理して報告した後，その後に参加者全員でその内容をめぐってディスカッションを行う。なお，民法（さらには，刑法，訴訟法など）についての基本的な知識があることが望ましい。

　司法試験のために，あるいは，法曹実務家として重要な能力の一つとして，現実の複雑な事案の中から，法的解決に必要な情報を整理して取り出すという能力がある。この能力は，実際に現実の事案を分析していくことで身につけるのが，一番である（法学セミナー701号・702号の座談会を参照）。このゼミでは，下級審裁判例の分析を通じて，そのような能力を習得することを目指す。特に，当事者自身の立場になって考えることができるかどうかが，このような分析にあたって決定的に重要になる。
　ここ2-3年の間の比較的新しい民法・商法関係の下級審裁判例の中から，事案がそれなりに複雑で興味深いと考えられるものを取り上げて分析する。演習の初回に，担当教員が裁判例のリストを示し，その中から各参加者が担当したいものを選ぶ。
　演習の具体的な進め方としては，裁判例について担当者がその内容を整理して報告した後，別の者がその報告に対してコメントを付し，その後に参加者全員でその裁判例についてディスカッションを行う，という形式をとる。担当者の報告は，担当した裁判例について，事案の概要・判旨・それに対する評価（他の裁判例・学説の中での位置づけ，および，報告者自身の評価）を述べることによってなされる。コメンテーターによるコメントを容易にするため，担当者は，報告原稿を事前にコメンテーターらに送付しておくことが必要となる。

商法演習IV（2014年度後期：学部・大学院）

　今日の企業活動においては，さまざまな環境問題に対応しつつ活動を展開することが，必須の条件となっている。そこで，環境法（環境規制）の内容とその目的を理解することを目指す。どのような環境法（環境規制）が存在し，それがどのような目的で存在しているのか（そして，その目的を適切に実現できているのかどうか）を理解できるようになる。その際には，環境法が，法学だけではなく，経済学など他の社会科学分野の影響を強く受けていることにも，留意できるようにする。
　演習の具体的な進め方としては，担当テーマについて報告者がその内容を整理して報告（30分以内）した後，コメンテーター（次回と次々回の報告者が割り当てられる）がその報告に対してコメントを付し，その後に参加者全員でその裁判例についてディスカッションを行う，という形式をとる。報告者は，単に担当テーマについて紹介するのではなく，評価できる点・できない点，議論の余地がある点などを含んだレジュメを準備して報告しなければならない。教材以後に公刊された裁判例や論文などについては，各自でリサーチする必要がある。
　なお，民法と行政法の基礎知識があることが望ましい。

実証分析入門演習（2014年度後期：学部・大学院）

　この演習では，データを活用して推論を行う定量的な実証分析について，それがどのような意義を持っているのかを学ぶとともに，その実施の仕方について学ぶ。
　具体的には，2つの作業を行っていく。まず，教材『社会科学のリサーチ・デザイン』を題材にして，実証分析の意義について学ぶ。各章の内容を担当者に報告してもらい，それに基づいて，実証分析にどのような意義と限界があるのか，また，実証分析を行う際にはどのような点に注意する必要があるのかについて，議論する。教材に書かれていることが難しい場合には，参考書に掲げた2冊を参照すると，分かりやすくなるかもしれない。
　それに続いて（あるいはそれと同時に），実際に実証分析に使うデータの収集を行ってみる。今回のゼミでは，民事については損害賠償請求訴訟に関するデータを，刑事については交通犯罪に関するデータの収集を行ってみる。その際には，教材にあるように，どのように「リサーチ」をデザインした上で，どのようなデータを収集するかが重要になってくることが分かるだろう。
　なお，数学に関する知識は，ほとんどなくてもかまわない（森田『実証分析入門』より低いレベルでも大丈夫）。ただし，足し算・かけ算などが普通にできることや，Excelのような表計算ソフトあるいは，AccessのようなDBソフトが扱えることが望ましい。

商法演習III（2013年度前期：学部・大学院）

　法学部の授業で学ぶ会社法は，会社をめぐる法規整の一面でしかない。東京証券取引所などにおいて株式を公開している公開会社においては，金融商品取引法（金商法）も適用されており，会社法に加えて金商法による法規整の内容も理解して初めて，日本の会社がどのような法ルールの下で活動しているのかを理解することができる。たとえば，公開会社に就職して法務部に配属された場合，会社法について知っているだけでは全くといっていいほど不十分であり，金商法についても理解していて初めて，法務部員として活動できることになる（もちろんそれ以外にも，労働法・民法・独禁法などの理解も必要だが）。
　そこで，この演習では，判例演習や金商法の論文の検討を通じて，金商法の理解を進めることを目的とする。

商法演習IV（2013年度後期：学部・大学院）

　2011年3月11日に発生した大震災は，巨大リスクへの対処の仕方について，深刻な問題を呼び起こした。これまでに開発されてきてリスク対処手法としては，保険が重要な存在である。もっとも，保険でどのようなリスクをカバーできるのかについては問題があるし（たとえば地震保険によるカバーは限定的である），保険を利用してリスクへの対処を図る際には，また別の問題が発生してきてしまう。このため，社会的に望ましい保険を組み立てるためには，さまざまな問題を考慮する必要がある。
　この演習では，保険についての基本文献を読むことによって，保険を利用した望ましいリスク対処のあり方について考えていく。

交渉演習I・II（2012年度前期（I）後期（II）：学部）

　本演習は，毎年12月初めに開催される「大学対抗交渉コンペティション」（以下，ネゴコンペ）に参加するための準備を行うことを目的とするゼミである。ネゴコンペの詳細については，ウエッブサイト（http://www.osipp.osaka-u.ac.jp/inc/index.html）を参照されたいが，全国（海外も含む）の大学生が集まり，国際的取引をめぐる仮設事例について，いずれかの立場に立って，ビジネス交渉の腕を競うものである（参加費5000円，ただし交通費・宿泊費は例年支給）。審査委員として参加して下さる方々は，現役の弁護士・裁判官・企業法務部の方々などからなっている。
　ネゴコンペに参加することで，学生生活では滅多に触れることのできない，ビジネス・法務の最先端を感じ取り，卒業して就職した後や法曹界に進んだ後にもその技術・知識を活用することができる。また，他の大学の学生と対戦することで，東北大生と他の大学の学生との違いを知り，就職活動に生かすこともできるだろう。ネゴコンペの準備時期と就職活動の開始時期は重なり，ネゴコンペの準備の負担は確かに重い。しかし，ネゴコンペの準備と就職活動を同時にやり遂げるほど能力のある本ゼミのOB/OGの就職先は，例年，法学部生平均よりも良好である。
　もっとも，この演習に参加したからと言ってネゴコンペに参加する義務が発生するわけではないし，逆に，演習に参加していないからと言ってネゴコンペに参加できなくなるわけではない。他学部学生の参加も可能である。
ネゴコンペは，①ユニドロワ国際商事契約原則をベースとした仲裁，②交渉，の2日間からなるので，この演習もこの2つの点でのスキルアップを目指すことになる。
　まず，交渉スキル（②）は，机上で学ぶのは難しいスキルである。本当の交渉スキルは，実践によらないと身につきにくい。とはいえ，まずは基礎理論を理解しておくことは望ましいから，まず，交渉に関するいくつかの方法論の内容を整理した上で，テキスト『交渉の達人』を利用してスキルアップを図る。後半では，シミュレーションを用いた実習に取り組む。他方，仲裁スキル（①）については，ユニドロワ契約原則の内容を理解した上で，具体的な問題においてそれを応用できるようにする。これは，通常の法律的なスキルであるから，法学部の他の授業の延長線上にあるから，少なくとも前期の交渉演習Iではあまり重視しない。
